1.Foreign Direct Investment

• Advised an Italian auto producer on its investment in China.

• Advised a U.S. company in the establishment of a Sino-foreign equity joint venture with a Chinese partner engaged in mining industry.

• Advised a HK company in connection with establishment of WFOE in Beijing, Hangzhou, Chongqing and Chengdu.

• Advised a UK company in the establishment of a Representative Office in Beijing.

2.Merger & Acquisition

• Advised a US company in the acquisition of shares Chinese Stated-owned pharmaceutical company, including restructuring of the target company, drafting of the transaction documents as well as reviewing and revising of the PRC legal opinion.

• Advised a HK listed company in the acquisition of shares in a Chinese high-tech company, including restructuring of the target company, drafting of the transaction documents as well as reviewing and revising of the PRC legal opinion for its compliance with the PRC laws newly promulgated by MOFCOM.

• Advised four Chinese domestic enterprises in their sale of assets (assets deal) to Strategic Alliance Capital (a US company) for purpose of overseas IPOs.

• Drafted Due Diligence Report\Share Transfer Contract and its Appendix in a JV Car Dealer Company’s equity transfer transaction.
