1. Cross-border investment and financing

• Providing long-term foreign-related legal services to Nankuang Group (SZ001360), participating in the Zimbabwe gold mine acquisition project, and providing foreign-related legal due diligence, transaction document drafting, and project delivery legal services.

• Assisted Hubei Industrial Construction in establishing overseas main projects in Saudi Arabia and Uzbekistan, providing foreign-related compliance and investment and financing legal services.

• Providing specialized legal due diligence, transaction document drafting, and regulatory communication services to a listed energy company in its acquisition of a new energy storage project in Australia and its FIRB application submission.

2. International Arbitration and Dispute Resolution

• Representing overseas trading companies in litigation and commercial negotiations with Chinese buyers regarding disputes over international trade contracts, ensuring the legitimate rights and interests of foreign companies

• Represented a well-known domestic electrical appliance company in filing a corporate equity lawsuit against a listed company. After the first and second trials, the client was ultimately assisted in obtaining equity rights and won the case.

• Represented domestic investors in a case involving illegal absorption of public deposits, collaborating with British lawyers to file an application with the British court for the return of the involved Bitcoins, and conducted legal research and communication.

3. Capital Market

• Participated in a medical enterprise's Hong Kong stock listing project as the underwriter's lawyer, mainly responsible for legal due diligence, intermediary team communication, on-site executive interviews, research on major legal issues, and drafting legal opinions

• Participated in the A-share listing project of a consumer goods company as the issuer's lawyer. I was primarily responsible for communicating and coordinating with brokerages, accountants and other intermediary teams to conduct on-site due diligence, business interviews, legal research, and corporate business and data compliance review, as well as drafting legal opinions and lawyer work reports.

• Participated in multiple US dollar bond projects as a securities firm or issuer's lawyer, mainly responsible for due diligence work on US dollar bond issuance, review of financing contracts, and drafting of legal opinions

• Participated in A-share listing projects for companies in pharmaceutical retail, commercial property management, hazardous waste disposal, and coal chemical industries, serving as the issuer's lawyer, primarily responsible for on-site due diligence, business interviews, legal research, and corporate business and data compliance review, as well as drafting legal opinions and lawyer work reports.

• Participated in the Hong Kong stock market listing projects of biopharmaceutical and financial companies, served as the domestic issuer's lawyer, participated in corporate restructuring and communication with shareholders, option plan design and drafting of listing-related legal opinions

4. Investment and Financing

• Participated in a Series B financing project for a healthcare company, conducting legal due diligence on the target company, interviewing senior executives, and drafting and closing transaction documents on behalf of investors

• Participated in a Series C financing project for a semiconductor chip company, representing investors in overseas transaction structures, participating in commercial negotiations, and drafting transaction documents.

• Participated in the B+ round of financing for a gene sequencing company, conducted legal and policy research on gene-related legal issues on behalf of the company, and negotiated the transaction agreement with the investor’s lawyers

• Participated in the drafting, review and revision of Chinese and English contracts for a biopharmaceutical company, mainly responsible for drafting and revising business contracts, sales and purchase contracts, agency contracts, lease contracts and labor contracts

• Participated in the equity incentive plan of a private equity quantitative company, sorted out the company's business and incentive needs, formulated an incentive plan suitable for the company's development, drafted supporting agreements, and witnessed the signing, etc.
